Membership Agreement
This Master Membership Agreement (“Agreement”) governs all membership privileges, access rights, and participation in Shadows Private Social Club (“Club”). By registering for membership, creating an account, paying dues, entering Club premises, or attending any Club event, the Member acknowledges and agrees to be legally bound by the terms set forth herein.
1. Binding Acceptance and Automatic Assent
By registering for membership, creating an account, paying dues, or accessing the Club, the Member:
- Automatically accepts and agrees to all terms of this Agreement.
- Acknowledges that no additional physical or digital signature is required.
- Agrees that this Agreement is permanently attached to the Member’s account record.
- Waives any claim that this Agreement is unenforceable due to lack of handwritten or electronic signature.
Continued participation constitutes ongoing acceptance of all provisions.
2. Partner Registration and Joint Responsibility
If membership is registered as a couple or with a partner:
- Each partner is independently and jointly bound by this Agreement.
- The registering Member represents that their partner has reviewed and agreed to these terms.
- Both partners shall be jointly and severally liable for any violation.
- A breach by one partner may result in suspension or termination of both memberships.
3. Eligibility and Representations
The Member affirms and represents that:
- They are at least twenty-one (21) years of age.
- They are legally eligible to participate in a private members-only club.
- All information provided to the Club is truthful and accurate.
- They are not affiliated with any press, media, or investigative organization.
- They have not been convicted of a felony involving violence, fraud, exploitation, or moral turpitude.
The Club reserves the right to revoke membership at its sole discretion.
4. Nature of the Club
The Member acknowledges that:
- The Club is a private, members-only social organization.
- Members may engage in lawful personal expression, including adult or sensual expression, within the private confines of the Club.
- All participation is voluntary and recreational in nature.
- The Club does not organize, facilitate, or condone illegal activity.
5. Privacy and Confidentiality
Privacy is fundamental to the Club’s operation.
The Member agrees not to:
- Disclose the identity of any member.
- Share personal information of members.
- Publish, post, or distribute information about Club activities.
- Capture or share content from Club events.
These obligations:
- Apply during and after membership.
- Survive termination.
Unauthorized disclosure may result in immediate termination and legal action, including injunctive relief and recovery of damages and attorney’s fees.
6. Photography and Recording Prohibition
No photography, audio recording, or video recording is permitted under any circumstances, including through:
- Cell phones
- Smart devices
- Wearables
- Cameras
- Surveillance equipment
Recording is permitted only with prior written consent from both the individual being recorded and Club management. Violation constitutes grounds for immediate expulsion and legal action.
7. Illegal Conduct and Drug Policy
The Club maintains a strict zero-tolerance policy regarding illegal activity.
Prohibited conduct includes:
- Possession, use, or distribution of illegal drugs.
- Solicitation or facilitation of illegal acts.
- Any activity prohibited by federal, Maryland state, or local law.
Violations result in immediate removal and termination.
8. Prohibition of Commercial Sexual Activity
The Member affirms that:
- No payment, compensation, or exchange of value for sexual activity is permitted.
- The Club does not permit prostitution or commercial sexual arrangements.
Violation results in immediate termination and may be reported to authorities.
9. Explicit Consent Policy
The Club operates under a strict consent-based environment.
The Member agrees that:
- All interactions require clear, voluntary, and ongoing consent.
- Consent may be withdrawn at any time.
- Silence, intoxication, or lack of resistance does not constitute consent.
- Coercion, pressure, intimidation, or manipulation are strictly prohibited.
Violations result in immediate removal and permanent termination.
10. Assumption of Risk and Release of Liability
The Member voluntarily assumes all risks associated with attendance at the Club, participation in events, and interaction with other members. The Member fully releases, waives, and discharges Shadows Private Social Club, including its owners, officers, directors, managers, staff, volunteers, and affiliates, from any and all claims, demands, liabilities, damages, losses, or expenses, whether known or unknown, arising from injury, illness, theft, property damage, emotional distress, or any other incident occurring on or off Club premises, to the fullest extent permitted under Maryland law.
11. Alcohol Responsibility
Where lawful, alcohol consumption is permitted.
The Member agrees that:
- They are solely responsible for their actions.
- The Club bears no liability for conduct resulting from intoxication.
- The Club may refuse entry, discontinue service, or remove visibly intoxicated individuals.
12. Property Disclaimer
The Club is not responsible for loss, theft, or damage to personal belongings, vehicles, or any property brought onto Club premises or event locations.
13. Membership Fees and Non-Refund Policy
Membership dues and event fees:
- Grant access only to Club premises and facilities.
- Do not constitute payment for personal services or private arrangements.
- Are non-refundable if membership is suspended or terminated due to violation.
14. Indemnification
The Member agrees to indemnify, defend, and hold harmless the Club and its owners, officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, judgments, penalties, or expenses, including reasonable attorney’s fees, arising from:
- Violation of this Agreement.
- The Member’s conduct at Club events.
- Claims brought by third parties due to the Member’s actions.
This obligation survives termination.
15. Non-Disparagement
The Member agrees not to make or publish any false, misleading, defamatory, or disparaging statements about the Club, its members, management, or operations, whether verbally, in writing, or online. Legitimate concerns must be directed privately to management. This provision survives termination.
16. Enforcement and Damages
Violation of this Agreement may result in:
- Immediate suspension or termination.
- Permanent ban.
- Civil action for damages.
Where a breach causes financial or reputational harm, the Member acknowledges potential liability exceeding two million dollars ($2,000,000), subject to Maryland law.
17. Arbitration and Dispute Resolution
Any dispute arising out of or relating to this Agreement or membership shall be resolved exclusively through binding arbitration conducted in the State of Maryland in accordance with the rules of a recognized arbitration association.
The Member waives the right to:
- Trial by jury.
- Participation in any class or collective action.
The arbitrator’s decision shall be final and enforceable in Maryland courts.
18. Governing Law
This Agreement shall be governed by and interpreted under the laws of the State of Maryland, United States of America, without regard to conflict-of-law principles.
19. Final Acknowledgment
By registering, paying dues, entering Club premises, or attending any event, the Member:
- Confirms they have read and understood this Agreement.
- Accepts all terms as legally binding.
- Acknowledges that registration constitutes full legal assent.
